OFFICIAL CALLATT BATTLE OF THE BANDS CONTEST RULES --



No Purchase Necessary To Enter or Win.

Eligibility: Contest is open to individual solo artists ("artist") and bands and each of their members ("band") who: a.) Are amateurs and have never signed a commercial recording contract; b.) Are legal residents of the 50 United States or the District of Columbia; c.) Are 18 years of age or older as of 4/14/03; and d.) Are not employees of AT&T, Corp., R/GA, Inc. ("Sponsors"), their respective corporate parents, past, present, and future subsidiaries, affiliates, licensed retailers, wholesalers, directors, officers, employees, advertising and promotion agencies, judging panel, and Project Support Team, Inc. (collectively, "Released Parties") and each of their immediate family members (consisting of mother, father, sister, brother, any child, husband or wife) and those living in their households. Contest is subject to all applicable federal, state and local laws and is void where prohibited or restricted by law.



To Enter: Between 12:00:01AM Eastern Time ("ET") on 4/14/03 and 4:59:59PM on 7/27/03 ("Promotion Period"), an artist or a designated representative of the band (hereinafter "entrant") must visit www.callatt.com to access the contest entry form and review music upload instructions.

Entrant must complete the official online entry form including his/her name, and if applicable, band name and name of each band member (up to six members are allowed), entrant's complete address of legal residence, daytime phone number, date of birth, email address, musical instrument played (if any), and submit the online entry form along with (1) original musical composition performed by the artist/band (attached as separate MP3 audio file no longer than (5) minutes in length, which must have a song title). Modification of an existing work by another artist or band does not qualify as "original." The submission must fall into one of the following genres: R&B/Hip Hop, Modern, or Hard Rock. Entrant must own and have the unrestricted and exclusive copyright and other rights in and to the original musical composition recorded and submitted for this contest. In addition, the entrant must agree, on behalf of his/her self and the entire band (if applicable), to the terms of these Official Rules. IMPORTANT: Recordings, Songs, and the Bios/Photos/Lyrics should not violate any law and must not be defamatory, disparaging of businesses or products, pornographic or obscene, and may not include profanities, and/or depict AT&T or 1-800-CALL ATT unfavorably as determined by Sponsors and any such entries will be disqualified. Sponsors will not acknowledge any entry not meeting all entry requirements stated herein and such entries will be disqualified. All entries shall become the property of Sponsors and will not be acknowledged or returned. Limit one entry per person and per e-mail address for the duration of the Promotion Period. In the event of a dispute as to the identity of an entrant based on e-mail address submitted, entry will be deemed to be from the e-mail account subscriber as determined by Sponsor regardless of the name that appears on the official online registration form. The collection and use of entrant information will be governed by AT&T's on-line privacy policy, available for viewing at www.att.com/privacy.



Selection Process: The selection process will occur in four phases as outlined below:



Phase #1 Round Periods: Musical Composition uploading process will begin on 4/14/03 at 12:00:01AM ET and end on 7/27/03 at 4:59:59PM ET. The contest will be comprised of five three-week Round Entry Periods, outlined below which will begin at 12:00:01AM ET and end at 11:59:59PM ET respectively with the exception of 7/27/03 which will end at 4:59:59PM ET. During each Round Period, no more than (30) entrants will be selected as Round-Finalists as follows: (up to 10) R&B/Hip Hop Round-Finalists, (up to 10) Modern Round-Finalists, and (up to 10) Hard Rock Round-Finalists. Entries will be judged by a panel of music and marketing professionals designated by 1-800-CALL ATT. Each judge will award each entry up to ten points based on the following criteria: 1.) Artist/band's musical ability; 2.) Quality of musical composition; and 3.) Quality of lyrics. Other than as specified above, the selection process and application of the above criteria will be at Sponsors' sole discretion. Entries received for each respective Round Period in Phase #1 will carry forward to subsequent rounds.

Phase #2 Semi-Finalists Voting Period: Periods outlined above will begin at 12:00:01AM ET and end at 11:59:59PM ET respectively with the exception of 7/27/03 which will end at 4:59:59PM ET. Each Round-Finalists' Musical Composition will be available online to be played via audio broadcast for visitors to www.callatt.com to vote on. Visitors to www.callatt.com will be required to register to vote ("registrant") and listen to and vote for their favorite artist/band in each genre. Registrants may vote once per each genre/Voting Period. If multiple votes from the same registrant or email address are attempted, all subsequent votes received from that registrant or email address during a Round Period will be void and all votes received from that registrant or email address may be voided at Sponsor's sole discretion. Votes will be tallied by AT&T representatives. The entrant with the most votes per genre will be declared the applicable genre winner of that Round Period (3 total). At the end of five Round Periods, the (5) Semi-Finalists per genre (15 total) will be entered in the Final Voting Period. All previous votes an entrant received will be erased. Each artist/band (and each band member) advancing to the Final Round Period will be required to execute and return an Affidavit of Eligibility, Liability Release and (where legal) Publicity Release within 5 days of issuance of notification. In the event of a tie please see below Phase #4 for tiebreaker methods.



Round Voting Period Announce Finalists/Winners

Semi Finals 9/1/03-9/21/03 9/22/03

Finals 9/22/03-9/28/03 9/29/03





Phase #3 Final Voting Period: Between 12:00:01AM ET on 9/1/03 and 4:59:59PM ET 9/21/03, visitors to www.callatt.com will be asked listen to and vote for their favorite Semi-Finalist. Limit one vote per registrant and email address in Final Voting Period. If multiple votes from the same registrant or email address are attempted, all votes received from that registrant or email address during a Round Period will be void. Votes will be tallied by AT&T representatives. The three entrants receiving the most online votes in the Final round will be named Finalists. In the event of a tie please see below Phase #4 for tiebreaker methods.



Phase #4 Grand Prize: Between 9/22/03 and 9/28/03, the three Finalists will be judged by authorized music industry professionals designated by Sponsors using the original musical compositions submitted. Finalist entries will be judged the based on the following criteria: entrant's musical ability (0-40 points); Quality of musical composition (0-30 points); and Quality of lyrics (0-30 points). The Finalist that obtains the greatest number of points in total will be named the Grand Prize winner of the 1-800 CALLATT Battle of the Bands Contest. The Grand Prize winner will be selected on/about 9/29/03 and will be notified by telephone, mail, or email.



In the event of a tie in any of the above Phases all such tied entries will be re-judged by a representative appointed by the Sponsors based on artist's/band's musical ability: 0-100 points. If a tie still exists, the remaining tied entries will be re-judged based on Quality of musical composition: 0-100 points.



Prizes: (1) Grand Prize: The winning artist/band will open for a major record label recording artist/band headlining act (as designated by Sponsors) for up to (3) dates of such artist's/band's tour at a time and location(s) to be designated by Sponsors. Winner's performance shall be approximately 30 minutes in length and will be subject to review and approval of Sponsors. Sponsors reserve the right to remove winning artist/band from one or more performances at their discretion. Artist/Band must act in a professional and courteous manner. Prize will include round trip coach air transportation from the major U.S. airport nearest artist/band's residence (or transportation via bus or train, determined at Sponsors' sole discretion depending upon location of winner's residence and venue location), standard double occupancy hotel accommodations while on tour, and ground transportation. Approximate total retail value ("ARV") of Grand Prize is $30,000, and is subject to fluctuation depending upon number of band members (if applicable) and location of each venue. In the event any portion of tour is cancelled, winner will receive trip less opening act performance as determined by Sponsors. (3) Finalist Prizes: $2,000 worth of Studio Time (studio location is at winner's choice) (ARV=$2,000). (15) Semi-Finalists Prizes: $100 Gift Certificate to www.guitarcenter.com (ARV=$100) awarded in entrant's name (i.e. if a band, prize will be awarded in the name of the designated representative of the band). Gift Certificates expire one year from the date of issuance and other restrictions may apply. Prizes are non-transferable, and no prize substitutions or cash redemptions are allowed except by 1-800-CALL ATT in its sole discretion. Insurance and all applicable Federal, State and Local taxes on prizes are the winners' sole responsibility. Expenses not specifically stated herein are the winners' sole responsibility. All prizes will be awarded according to these Official Rules.



Miscellaneous: Sponsors and their affiliates and agencies assume no responsibility for incomplete, lost, late, damaged, inaudible, illegible or misdirected entries (or any component thereof), votes or mail or for inaccurate entry or contest related information or for interrupted or unavailable network, server or other connections, miscommunications, computer or software malfunctions or telephone transmission problems or technical failures, garbled transmissions, damage to a user's computer equipment (software or hardware) or other errors or malfunctions of any kind whether caused by equipment, programming used in this contest, mechanical, electronic or human error or otherwise. Any attempt by an entrant or voter to deliberately damage any web site or undermine the legitimate operation of this contest is a violation of criminal and/or civil laws and should such an attempt be made, Sponsors reserve the right to disqualify relevant entrant or vote(s) submitted and seek damages and other remedies to the fullest extent permitted by law. Sponsors reserve the right, in their sole discretion, to void entries or votes they believe are suspect or to modify, cancel, terminate or suspend this contest (or any portion of this contest) should virus, bugs, non-authorized human intervention or other causes beyond the control of Sponsors corrupt or impair the administration, security, fairness or proper play of the contest and, in any such event, at their option select finalist(s) or winner from all eligible online votes received prior to event requiring such action. The use of any device to automate the entry or voting process is prohibited. In the event of suspected extreme voting irregularities, Sponsors has the right, in their sole discretion, to determine the Grand Prize winner. Per the judging specification outlined in the Selection Process section above, winners will be notified by telephone and/or overnight delivery or email. If any prize notification or prize is returned as non-deliverable, winner may be disqualified and the prize may be awarded to the artist or band with the next highest score. Grand Prize artist/band must be available and agree to travel to the destination(s) designated by the Sponsors and perform there on the dates and times as determined by Sponsors. Decisions of the judges are final and binding. By participating, entrant acknowledges having read these Official Rules in its entirety and agrees to abide by and be bound by these Official Rules. By entering this Contest and agreeing to these Official Rules, each artist or band member grant the Sponsors and their designees without limitation, the non-exclusive, perpetual, royalty-free license to record, adapt, modify and exploit the entry, and the recording and composition embodied therein for trade, advertising, promotional and/or other purposes as Sponsors may determine without further consideration (monetary or otherwise) to the relevant the artist/band or its members. Entrants agree that: 1.) Released Parties and their designees shall have the right and permission to use (unless prohibited by law) the artist's/band's bio, artist's/band members' names and cities of residence, MP3 digital audio file, photographs or likenesses, or portions thereof on www.callatt.com, in advertisements and/or in the promotion of the contest including, but not limited to, entrants' voices, musical performances including, without limitation, any statements, interviews or performances, in and in connection with the 1-800-CALL ATT Online Radio, for advertising, publicity, trade and/or other purpose in any and all media including but not limited to television, radio, print and the Internet now or hereafter known without further compensation, permission or notification. The rights granted above include, without limitation, all required rights of reproduction, adaptation, distribution, public performance and public display, throughout the world and in all media; and 2.) Released Parties and their designees and assigns shall have no liability and will be held harmless for any liability, loss, injury or damage to entrants or any other person or entity, including personal injury, death or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of a prize (including without limitation, studio time, travel, tour performance, the activities associated with performing in or participating in this contest) or any travel related thereto. AT&T reserves the right to remove from the AT&T Website, the 1-800-CALL ATT Online Radio and the Contest, at any time, any Recording, Song, and/or Bios/Photos/Lyrics in whole or in part that do not comply with the Contest Rules.



For the name of the Grand Prize winning artist or band: Mail a self-addressed, stamped envelope by 10/29/03 to: 1-800 CALLATT Battle of the Bands Winner c/o R/GA, 350 West 39th, New York, NY 10018 or visit www.callatt.com from 9/29/03 through 11/30/03.
